Mais la cog\u00e9rante \u00e9vinc\u00e9e conteste la r\u00e9vocation de son mandat et r\u00e9clame des dommages-int\u00e9r\u00eats\u2026<\/p>\n\n\n\n<p><br>Elle constate que le proc\u00e8s-verbal de l\u2019AG ne mentionne pas le \u00ab\u00a0juste motif\u00a0\u00bb de sa r\u00e9vocation, comme l\u2019exigent pourtant les statuts de la soci\u00e9t\u00e9. Ce qui suffit \u00e0 faire annuler cette AG\u2026 \u00ab\u00a0\u00c0 tort\u00a0\u00bb, s\u2019oppose la soci\u00e9t\u00e9 pour qui l\u2019AG ne peut pas \u00eatre annul\u00e9e puisque la nullit\u00e9 sanctionne le non-respect d\u2019une r\u00e8gle imp\u00e9rative\u00a0: ici, seuls les statuts exigent que le PV mentionne le motif de r\u00e9vocation du dirigeant alors que la loi ne pr\u00e9voit pas que ce motif doit \u00eatre rapport\u00e9 au PV de l\u2019AG r\u00e9voquant le mandat du dirigeant\u2026<br><\/p>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"le-verdict\">Le verdict <\/h3>\n\n\n\n<p><br>Ce que confirme le juge\u00a0: si la loi permet aux statuts d\u2019am\u00e9nager les r\u00e8gles applicables \u00e0 la soci\u00e9t\u00e9, elle n\u2019exige pas de mention particuli\u00e8re pour r\u00e9voquer un dirigeant. La nullit\u00e9 est donc exclue\u2026<\/p>\n\n\n\n<p><a
