La plupart des ventes immobili\u00e8res ont lieu sous la condition suspensive d\u2019obtenir un pr\u00eat bancaire. Une attention particuli\u00e8re doit \u00eatre port\u00e9e sur la r\u00e9daction de cette clause essentielle et protectrice pour l\u2019acqu\u00e9reur.<\/p>\n<h2><strong>Qu\u2019est-ce qu\u2019une condition suspensive&nbsp;d\u2019obtention de pr\u00eat&nbsp;?<\/strong><\/h2>\n<p>La vente d\u2019un bien immobilier est en g\u00e9n\u00e9ral conditionn\u00e9e \u00e0 la r\u00e9alisation d\u2019un certain nombre de d\u00e9marches et de formalit\u00e9s administratives impos\u00e9es par la loi (comme la v\u00e9rification des <a href=\"https:\/\/www.service-public.fr\/particuliers\/vosdroits\/F16\" target=\"_blank\" rel=\"noopener\">droits de pr\u00e9emption<\/a>) ou n\u00e9goci\u00e9es entre les parties (telles que l\u2019obtention d\u2019une autorisation de permis de construire).<\/p>\n<p>Un <strong>compromis de <a href=\"https:\/\/avoloi.eu\/blog\/tag\/vente\/\">vente<\/a> immobili\u00e8re<\/strong> est donc sign\u00e9 entre les parties afin de d\u00e9finir ces modalit\u00e9s et de les inscrire sous la forme de clauses suspensives. La vente ne peut \u00eatre d\u00e9finitivement conclue sans l\u2019accomplissement des conditions suspensives incluses dans le compromis.<\/p>\n<p>Cependant pour \u00eatre consid\u00e9r\u00e9e comme valable, la condition suspensive doit \u00eatre fond\u00e9e sur un \u00e9v\u00e9nement futur et incertain dont la r\u00e9alisation ne d\u00e9pend pas uniquement de la volont\u00e9 des parties. C\u2019est notamment le cas de la <strong>condition suspensive de pr\u00eat<\/strong> qui soumet la vente immobili\u00e8re \u00e0 l\u2019obtention pr\u00e9alable, par l\u2019acheteur, d\u2019un pr\u00eat bancaire dont l\u2019accord d\u00e9pend essentiellement de l\u2019\u00e9tablissement financier.<\/p>\n<h2><strong>Une protection l\u00e9gale en faveur de l\u2019acqu\u00e9reur<\/strong><\/h2>\n<h3>Le but de la clause suspensive d&rsquo;obtention de pr\u00eat<\/h3>\n<p>La condition suspensive d&rsquo;obtention de cr\u00e9dit est <strong>obligatoire<\/strong> d\u00e8s lors que l\u2019acheteur recourt \u00e0 un pr\u00eat bancaire pour financer l\u2019acquisition d\u2019un logement. La condition suspensive de pr\u00eat vise alors \u00e0 prot\u00e9ger l\u2019acqu\u00e9reur. Ainsi, en cas de rejet de la demande de pr\u00eat par l\u2019\u00e9tablissement financier, l\u2019acheteur peut d\u00e9cider purement et simplement de mettre fin \u00e0 la vente sans qu\u2019aucune indemnit\u00e9 ne puisse lui \u00eatre r\u00e9clam\u00e9e. Le vendeur est en cons\u00e9quence tenu de lui restituer tout acompte ou indemnit\u00e9 d\u2019immobilisation qu\u2019il aurait d\u00e9j\u00e0 vers\u00e9.<\/p>\n<p>Le compromis de vente doit donc pr\u00e9ciser le mode de financement de la vente lorsque le prix est pay\u00e9 en tout ou partie \u00e0 l\u2019aide d\u2019un ou plusieurs pr\u00eats immobiliers ainsi que la dur\u00e9e fix\u00e9e pour la r\u00e9alisation de la condition suspensive.<\/p>\n<p>L\u2019acqu\u00e9reur a en effet besoin de temps pour constituer son dossier de demande de pr\u00eat et obtenir une r\u00e9ponse officielle de l\u2019\u00e9tablissement bancaire. L\u00e9galement, le d\u00e9lai accord\u00e9 pour l\u2019accomplissement de cette d\u00e9marche ne peut \u00eatre inf\u00e9rieur \u00e0 un mois \u00e0 compter de la signature du compromis de vente. En pratique, la d\u00e9marche n\u00e9cessite souvent un temps plus long et les parties conviennent g\u00e9n\u00e9ralement de fixer la <strong>dur\u00e9e de validit\u00e9 de la condition suspensive de pr\u00eat<\/strong> entre 45 et 60 jours.<\/p>\n<h3>L&rsquo;exception \u00e0 l&rsquo;application d&rsquo;office de la clause suspensive<\/h3>\n<p>Lorsque l\u2019acheteur pr\u00e9voit de financer son logement autrement qu\u2019au moyen d\u2019un cr\u00e9dit immobilier, celui-ci peut renoncer au b\u00e9n\u00e9fice de la condition suspensive de pr\u00eat. Le compromis de vente doit alors faire express\u00e9ment mention de sa renonciation. En revanche, en cas de silence du compromis, l\u2019acqu\u00e9reur b\u00e9n\u00e9ficie d\u2019office de la condition suspensive de pr\u00eat.<\/p>\n<p>Par ailleurs, l&rsquo;acheteur dont l\u2019emprunt bancaire est refus\u00e9 dans le d\u00e9lai pr\u00e9vu dans le compromis peut d\u00e9cider de poursuivre n\u00e9anmoins la vente. Mais en renon\u00e7ant de cette mani\u00e8re \u00e0 se pr\u00e9valoir de la clause suspensive de cr\u00e9dit, il s\u2019expose en cas d\u2019\u00e9chec des nouvelles tentatives de financement \u00e0 des p\u00e9nalit\u00e9s cons\u00e9quentes.<\/p>\n<p>\u00c0 savoir que l\u2019obtention d\u2019un pr\u00eat relais ou la vente d\u2019un autre bien <a href=\"https:\/\/avoloi.eu\/blog\/tag\/immobilier\/\">immobilier<\/a> pour financer l\u2019acquisition envisag\u00e9e constituent des conditions suspensives contractuelles, \u00e9trang\u00e8res \u00e0 la condition suspensive de pr\u00eat.<\/p>\n<h2><strong>Les obligations de l\u2019acqu\u00e9reur<\/strong><\/h2>\n<p>La condition suspensive de pr\u00eat est un sujet sensible car elle oblige le vendeur \u00e0 immobiliser le bien immobilier pendant plusieurs semaines sans contrepartie financi\u00e8re. Pour limiter les litiges, la clause doit donc \u00eatre <strong>r\u00e9dig\u00e9e de mani\u00e8re pr\u00e9cise<\/strong> et d\u00e9tailler au minimum le montant total du pr\u00eat, le taux d\u2019int\u00e9r\u00eat maximal et la dur\u00e9e. Il est \u00e9galement conseill\u00e9 d\u2019ins\u00e9rer une clause au profit du vendeur obligeant l\u2019acheteur \u00e0 l\u2019informer du rejet de sa demande de pr\u00eat, formul\u00e9e aux conditions mentionn\u00e9es dans le compromis de vente.<\/p>\n<p>La signature du compromis entra\u00eene l\u2019obligation pour l&rsquo;acqu\u00e9reur de <strong>demander le ou les pr\u00eats<\/strong> destin\u00e9s au financement du logement conform\u00e9ment aux stipulations de la clause et dans le d\u00e9lai imparti. Bien que l\u2019acheteur ait la possibilit\u00e9 d\u2019engager des demandes aupr\u00e8s de diff\u00e9rents \u00e9tablissements bancaires, le vendeur ne peut par principe le lui imposer. Mais l\u2019inaction de l\u2019acqu\u00e9reur l\u2019engagerait au contraire \u00e0 poursuivre la vente et \u00e0 en payer le prix.<\/p>\n<p>Dans l\u2019hypoth\u00e8se o\u00f9 la dur\u00e9e de validit\u00e9 de la clause s\u2019av\u00e9rerait insuffisante pour l\u2019obtention du pr\u00eat, les parties peuvent convenir de proroger le d\u00e9lai tant que celui-ci n\u2019a pas expir\u00e9.<\/p>\n<p>Une fois le pr\u00eat immobilier <strong>accord\u00e9<\/strong>, la vente devient d\u00e9finitive. L\u2019acheteur ne peut plus renoncer \u00e0 l&rsquo;acquisition du bien immobilier sauf \u00e0 risquer le paiement de p\u00e9nalit\u00e9s.<\/p>\n<p>Le <strong>refus de pr\u00eat<\/strong> de la banque doit, quant \u00e0 lui, \u00eatre transmis au vendeur conform\u00e9ment aux termes de la condition suspensive de cr\u00e9dit.
