Quelles sont les sanctions face \u00e0 cette situation\u00a0?<\/p>\n<p style=\"text-align: justify;\">Compte tenu de la persistance de l\u2019\u00e9pid\u00e9mie de Covid-19, la <a href=\"https:\/\/www.legifrance.gouv.fr\/jorf\/id\/JORFTEXT000042520662\" target=\"_blank\" rel=\"noopener\">loi du 14 novembre 2020<\/a> proroge l\u2019\u00e9tat d\u2019urgence sanitaire. Elle apporte de nouvelles mesures protectrices en faveur des entreprises locataires. Celles-ci sont en effet \u00e9conomiquement impact\u00e9es par la fermeture administrative de leurs \u00e9tablissements. Cette nouvelle r\u00e9glementation est largement inspir\u00e9e des mesures adopt\u00e9es lors du premier confinement.\u00a0 Toutefois, elle se r\u00e9v\u00e8le plus persuasive envers les bailleurs que le dispositif pr\u00e9c\u00e9dent.<\/p>\n<h2 style=\"text-align: justify;\"><strong>Gel temporaire des sanctions contre les impay\u00e9s de loyers commerciaux ou professionnels<\/strong><\/h2>\n<p style=\"text-align: justify;\">Afin de soutenir les entreprises d\u00e9j\u00e0 fragilis\u00e9es par la crise sanitaire, <a href=\"https:\/\/www.legifrance.gouv.fr\/jorf\/article_jo\/JORFARTI000042520676\" target=\"_blank\" rel=\"noopener\">l\u2019article 14 de la loi susmentionn\u00e9e<\/a> adopte de nouvelles mesures protectrices. Cela concerne les locataires commer\u00e7ants, artisans et professionnels dont l&rsquo;\u00e9tablissement est ferm\u00e9 au public. Ces derniers sont ceux <strong>contraints de fermer leurs \u00e9tablissements<\/strong> par application d\u2019une mesure de police administrative dans le cadre de la lutte contre l\u2019\u00e9pid\u00e9mie de <a href=\"https:\/\/avoloi.eu\/tag\/covid-19\/\">Covid-19<\/a>. Toutefois, toutes les entreprises de droit priv\u00e9 ne peuvent b\u00e9n\u00e9ficier de ces mesures. Les conditions d\u2019\u00e9ligibilit\u00e9 au nouveau dispositif doivent \u00eatre pr\u00e9cis\u00e9es dans un d\u00e9cret \u00e0 para\u00eetre.<\/p>\n<h3 style=\"text-align: justify;\">Quels sont les \u00e9l\u00e9ments concern\u00e9s ?<\/h3>\n<p style=\"text-align: justify;\">Sont concern\u00e9s par les nouvelles dispositions <strong>les loyers et les charges locatives<\/strong> attach\u00e9s aux \u00e9tablissements recevant habituellement du public. Ainsi, <strong>le retard ou le non-paiement<\/strong> de ces sommes, dues au titre du bail commercial ou du bail professionnel durant la p\u00e9riode de fermeture administrative, ne peut donner lieu \u00e0 <strong>une sanction financi\u00e8re<\/strong> (telle que la r\u00e9clamation d\u2019int\u00e9r\u00eats de retard ou le paiement de p\u00e9nalit\u00e9s). Ils ne peuvent pas non plus faire encourir d&rsquo;action ou voie d\u2019ex\u00e9cution forc\u00e9e \u00e0 l\u2019encontre de l\u2019entreprise concern\u00e9e. Cependant, les compensations entre loyers ou charges locatives dus par le locataire et toute autre somme que lui devrait le bailleur restent autoris\u00e9es.<\/p>\n<h3>Les protection suppl\u00e9mentaires accord\u00e9es au locataire<\/h3>\n<p style=\"text-align: justify;\">Le texte interdit \u00e9galement aux bailleurs d\u2019actionner toute <strong>s\u00fbret\u00e9 r\u00e9elle ou personnelle<\/strong> en garantie du paiement de ces m\u00eames loyers et charges locatives. Cette disposition est d\u2019ordre public. Elle a pour effet de mettre hors de port\u00e9e du bailleur les cautions, gages et hypoth\u00e8ques consentis.<\/p>\n<p style=\"text-align: justify;\">Ce dispositif est tr\u00e8s proche des mesures mises en place par l\u2019ordonnance du 25 mars 2020. Il vient pourtant renforcer la protection des int\u00e9r\u00eats du preneur. Ainsi les nouvelles dispositions interdisent aux bailleurs de pratiquer toutes <strong>mesures conservatoires<\/strong>. Cela a pour but d\u2019\u00e9viter les saisies conservatoires initi\u00e9es en raison des loyers impay\u00e9s lors du premier confinement. Elles imposent \u00e9galement une <strong>suspension des proc\u00e9dures d\u2019ex\u00e9cution<\/strong> engag\u00e9es par le bailleur \u00e0 l\u2019encontre du locataire du fait du non-paiement de loyers ou de charges locatives exigibles.<\/p>\n<h2 style=\"text-align: justify;\"><strong>Mise en place du dispositif\u00a0: entr\u00e9e en vigueur, \u00e9ligibilit\u00e9 et avantages<\/strong><\/h2>\n<h3 style=\"text-align: justify;\">Les conditions du dispositif<\/h3>\n<p style=\"text-align: justify;\">Les dispositions pr\u00e9vues \u00e0 l\u2019article 14 de la loi du 14 novembre 2020 entrent en vigueur <strong>\u00e0 compter r\u00e9troactivement du 17 octobre 2020<\/strong>. Elles ont vocation \u00e0 s\u2019appliquer tant qu\u2019une mesure prise par les pouvoirs publics affecte l\u2019activit\u00e9 de l\u2019entreprise. Elles se poursuivent pendant <strong>un d\u00e9lai de deux mois<\/strong> apr\u00e8s l\u2019arr\u00eat des contraintes impos\u00e9es par la mesure de police sur l\u2019\u00e9tablissement concern\u00e9.<\/p>\n<p style=\"text-align: justify;\">Pour conna\u00eetre les b\u00e9n\u00e9ficiaires exacts de ce dispositif, <strong>des crit\u00e8res d\u2019\u00e9ligibilit\u00e9<\/strong> <strong>seront pr\u00e9cis\u00e9s par d\u00e9cret<\/strong>. Ils tiennent \u00e0 des seuils d\u2019effectifs, de chiffre d\u2019affaires et de pertes constat\u00e9es du fait de la lutte contre la pand\u00e9mie. Pour m\u00e9moire, \u00e0 l\u2019occasion du premier confinement les conditions \u00e9taient les suivantes. L\u2019ordonnance du 25 mars 2020 exigeait de justifier des conditions d\u2019\u00e9ligibilit\u00e9 au fonds de solidarit\u00e9 pour acc\u00e9der au dispositif mis alors en place.<\/p>\n<p style=\"text-align: justify;\">En cons\u00e9quence, en cas de d\u00e9faut de paiement du loyer lors de la fermeture administrative de l\u2019\u00e9tablissement et pendant les deux mois qui suivent, aucune p\u00e9nalit\u00e9 ou sanction ne peut \u00eatre encourue par l\u2019entreprise locataire. Cela sera le cas m\u00eame en vertu d\u2019une clause contractuelle (r\u00e9solutoire ou p\u00e9nale). Mais attention, les loyers \u00e9chus pendant cette p\u00e9riode et les charges aff\u00e9rentes restent malgr\u00e9 tout <strong>exigibles. <\/strong>Ils se cumulent avec les loyers \u00e0 venir. En outre, le calcul des int\u00e9r\u00eats ou p\u00e9nalit\u00e9s financi\u00e8res reprend d\u00e8s l\u2019expiration de la p\u00e9riode de protection juridique. Cette p\u00e9riode se termine deux mois apr\u00e8s que la mesure de police administrative a cess\u00e9 d\u2019affecter l\u2019activit\u00e9 de l\u2019\u00e9tablissement.<\/p>\n<h3>Une compensation pour les bailleurs<\/h3>\n<p style=\"text-align: justify;\">Ne pouvant suspendre le paiement des loyers, le gouvernement esp\u00e8re par le biais de mesures persuasives un effort de la part des bailleurs. <strong>Un cr\u00e9dit d\u2019imp\u00f4t<\/strong> devrait \u00eatre introduit \u00e0 leur profit dans le projet de loi de finances pour 2021. Le but \u00e9tant de les inciter \u00e0 abandonner les loyers du par les entreprises en difficult\u00e9. Ces bailleurs pourraient alors se voir attribuer un cr\u00e9dit d\u2019imp\u00f4t allant jusqu\u2019\u00e0 50 % des sommes abandonn\u00e9es. Il sera calcul\u00e9 en fonction du nombre de salari\u00e9s de l\u2019entreprise locataire concern\u00e9e. Cela pourrait \u00eatre applicable \u00e0 compter du mois de novembre 2020.<\/p>\n<p style=\"text-align: justify;\">Ces dispositions repr\u00e9sentent une opportunit\u00e9 pour les entreprises locataires. Elles pourraient ren\u00e9gocier avec leurs bailleurs le <a href=\"https:\/\/avoloi.eu\/tag\/loyer\/\">loyer<\/a> des locaux professionnels ou commerciaux qu\u2019elles occupent.
