Dans cette situation, ces derniers doivent demander l\u2019ouverture d&rsquo;une proc\u00e9dure collective : la sauvegarde, le redressement judiciaire ou la liquidation judiciaire.<\/p>\n<p>Qu&rsquo;advient-il des baux commerciaux au cours de ces proc\u00e9dures ? Le bail commercial peut \u00eatre soit maintenu, soit r\u00e9sili\u00e9, soit c\u00e9d\u00e9.<\/p>\n<h2>La poursuite du bail commercial<\/h2>\n<p>En vertu de l\u2019article L. 145-45 du Code de commerce, l\u2019ouverture d\u2019une proc\u00e9dure collective n\u2019entra\u00eene pas la r\u00e9siliation de plein droit d\u2019un bail commercial. Aucune stipulation ne peut aller \u00e0 l\u2019encontre de ce principe.<\/p>\n<p>Par cons\u00e9quent, le bail commercial peut \u00eatre maintenu par d\u00e9cision de l\u2019administrateur judiciaire en cas de sauvegarde ou de redressement judiciaire, ou de celle du liquidateur judiciaire en cas de liquidation judiciaire. Le d\u00e9biteur doit alors disposer suffisamment d\u2019actifs pour assumer les paiements des loyers. De plus, ces derniers veillent au respect des \u00e9ch\u00e9ances des loyers et autres charges.<\/p>\n<h2>La r\u00e9siliation du bail commercial<\/h2>\n<p>Cette possibilit\u00e9 de r\u00e9silier le bail commercial est r\u00e9gie par les articles L. 622-14 (sauvegarde), L. 631-14 (redressement judiciaire) et L. 641-12 (liquidation judiciaire) du Code de commerce.<\/p>\n<p><strong>La r\u00e9siliation \u00e0 l\u2019initiative de l\u2019administrateur<\/strong><\/p>\n<p>Le bail commercial peut \u00eatre r\u00e9sili\u00e9 sur d\u00e9cision du mandataire judiciaire, administrateur ou liquidateur judiciaire. C\u2019est le cas lorsque ces derniers se rendent compte que le d\u00e9biteur ne dispose pas suffisamment de fonds n\u00e9cessaire pour le r\u00e8glement des loyers. Le mandataire en informe le bailleur par lettre recommand\u00e9e avec accus\u00e9 de r\u00e9ception. La r\u00e9siliation prend effet \u00e0 compter de la date de r\u00e9ception de cette lettre.<\/p>\n<p>Dans un d\u00e9lai d\u2019un mois \u00e0 compter de cette notification, le bailleur peut demander des dommages-int\u00e9r\u00eats dont le montant doit \u00eatre estim\u00e9 par ce dernier.<\/p>\n<p><strong>La r\u00e9siliation \u00e0 l\u2019initiative du bailleur<\/strong><\/p>\n<p>La r\u00e9siliation du bail commercial ne peut survenir pour d\u00e9faut de paiement des loyers ant\u00e9rieurs au jugement d\u2019ouverture de la proc\u00e9dure collective. A compter de cette date, les cr\u00e9anciers, dont le bailleur, ne peuvent en effet ni intenter une action en r\u00e9siliation du bail commercial, ni demander l\u2019application d\u2019une clause r\u00e9solutoire, ni saisir les biens du locataire, pour les dettes ant\u00e9rieures au jugement.<\/p>\n<p>Les cr\u00e9anciers peuvent n\u00e9anmoins d\u00e9clarer leurs cr\u00e9ances au mandataire judiciaire.<\/p>\n<p>En revanche, le bailleur peut intenter une action en r\u00e9siliation du bail commercial, demander l\u2019application d\u2019une clause r\u00e9solutoire, ou bien saisir les biens du locataire pour les dettes post\u00e9rieures au jugement. Dans ce cas, le bailleur doit attendre un d\u00e9lai de trois mois \u00e0 compter dudit jugement avant d\u2019agir (cf. article L. 622-14 du Code de commerce).<\/p>\n<p>En outre, le bail commercial peut \u00eatre r\u00e9sili\u00e9 pour des manquements aux obligations du locataire ant\u00e9rieurs au jugement qui ne concernent pas le paiement des loyers : sous-location, non-respect de la destination du bail, d\u00e9faut d\u2019assurance, etc. Le bailleur dispose d\u2019un d\u00e9lai de trois mois \u00e0 compter de la publication du jugement d\u2019ouverture pour faire sa demande.<\/p>\n<p>En vertu de l\u2019article R. 641-21 du Code de commerce, la r\u00e9siliation du bail commercial rel\u00e8ve de la comp\u00e9tence du juge-commissaire. Le bailleur peut \u00e9galement saisir le pr\u00e9sident du tribunal judiciaire en r\u00e9f\u00e9r\u00e9, lorsqu\u2019il souhaite agir sur le fondement d\u2019une clause r\u00e9solutoire.<\/p>\n<h2>La cession du bail commercial<\/h2>\n<p>La cession du bail peut intervenir dans le cadre d\u2019un plan de cession de l\u2019entreprise ou en-dehors.<\/p>\n<p><strong>La cession du bail commercial incluse dans le plan de cession du fonds de commerce<\/strong><\/p>\n<p>Les objectifs poursuivis par la cession du bail commercial sont \u00e9num\u00e9r\u00e9s \u00e0 l\u2019article L. 642-1 du Code de commerce : la poursuite des activit\u00e9s, le maintien des emplois, et l\u2019apurement du passif.<\/p>\n<p>L\u2019article L. 642-2 du Code de commerce renseigne les indications devant \u00eatre contenues dans l\u2019offre : d\u00e9signation des biens, des droits et des contrats, inclus dans la cession, prix et modalit\u00e9s de r\u00e8glement, etc.<\/p>\n<p>Le plan de cession est arr\u00eat\u00e9 par jugement du tribunal qui emporte la cession du bail.<\/p>\n<p><strong>La cession du bail commercial en dehors d\u2019un plan de cession<\/strong><\/p>\n<p>Le juge-commissaire peut ordonner la cession du bail commercial en dehors d\u2019un plan de cession, soit aux ench\u00e8res publiques, soit de gr\u00e9 \u00e0 gr\u00e9.<\/p>\n<p>Toutes les clauses du bail, y compris celles restrictives \u00e0 la cession (agr\u00e9ment du bailleur, droit de pr\u00e9f\u00e9rence ou de pr\u00e9emption du bailleur ou de la commune, exigences de formalisme, etc.), doivent s\u2019appliquer dans le cadre d\u2019une liquidation judiciaire (ce qui n\u2019est pas le cas au cours d\u2019un redressement judiciaire).<\/p>\n","protected":false},"excerpt":{"rendered":"<p>Dans le secteur immobilier, les exploitants de fonds de commerce sont s\u00e9v\u00e8rement touch\u00e9s par la crise \u00e9conomique due au Covid-19.
